Terms of Use

This page sets out the rules for using 237studio.co. If you keep using the site, you are agreeing to them. If you do not agree, please stop using the site.

1. Who you are dealing with

This site is operated by SunnyOrange LLC, which publishes games under the studio name 237 Studio. In these Terms, "we", "us" and "the studio" mean SunnyOrange LLC.

237 Studio is a studio name, not a separate company. There is no entity called 237 Studio LLC. Every legal obligation described on this page is an obligation of SunnyOrange LLC.

2. What these Terms cover

These Terms cover this website and its content: the pages, text, images, video and downloadable files published at 237studio.co.

They do not cover:

  • Buying or playing our games. Our games are distributed through third-party storefronts, currently Steam. When you buy or install a game there, that transaction is between you and the storefront operator under its own agreement, such as the Steam Subscriber Agreement. A game may also present its own in-game terms, which apply in addition to these.
  • Third-party communities. Discord servers, YouTube channels, subreddits and similar spaces are governed by the rules of the platform hosting them, plus any rules posted in the space itself.

3. Using the site

You may read, link to, quote and share anything published here. You may not:

  • break into, probe, overload or interfere with the site or the servers behind it;
  • scrape the site in a way that degrades it for other people;
  • use the site to distribute malware or to mislead people about who published something;
  • copy the site's design and content wholesale in order to present it as your own work or as an official 237 Studio page.

The site is available to anyone. If you are entering into an agreement on behalf of a company, you are confirming that you are allowed to do that.

4. Who owns what is on this page

The site content, the game names Warwake and Guandan / 掼蛋搭子, the 237 Studio name and mark, the screenshots, the artwork and the text are owned by SunnyOrange LLC or used by it with permission. Copyright and trademark law applies to them in the normal way.

Names, logos and marks belonging to other companies that appear on this site, including Steam and Valve Corporation, Unreal Engine and Epic Games, Godot, Discord, YouTube, Instagram and Reddit, belong to those companies. Their appearance here is descriptive and does not imply that they endorse us.

Permission for press and content creators

You do not need to write and ask. You may reproduce screenshots, trailers, artwork and quotations from this site for news reporting, reviews, previews, videos, streams and other editorial coverage of our games, provided you credit 237 Studio and do not alter an image in a way that misrepresents the game. This permission does not extend to merchandise, to training generative models on the assets, or to using our name or marks in a way that suggests we sponsored or approved your product.

5. Statements about games in development

Both of our games are unfinished. Descriptions of features, scope, schedules and platforms on this site describe work in progress at the time of writing, and they can change or be dropped. Nothing on this site is an offer to sell, a promise that a feature will ship, or a guarantee of a release date. Where we have not announced something, such as a price or a date, that is because it does not exist yet, not because it is being withheld.

6. Ideas and feedback you send us

If you send us feedback, bug reports, suggestions or ideas by email, on Discord, or anywhere else, you are giving us permission to use them in our games and in our work without payment, credit or any obligation to you, and you confirm the material is yours to send. Please do not send us anything confidential or anything you expect to be paid for. If you would rather discuss something under an agreement, write to us first and say so.

7. Links to other sites

This site links to services we do not run. We are not responsible for their content, their availability, or what they do with your data. Their terms and privacy policies apply once you leave this site.

8. The site is provided as it is

We work to keep the site accurate and available, but we provide it "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components, and we may change or remove any part of it at any time.

9. Limitation of liability

To the fullest extent permitted by law, SunnyOrange LLC and anyone working with it will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, business interruption or loss of goodwill, arising out of your use of this site, whether the claim is based in contract, tort or anything else, and even if we were told such damages were possible.

To the fullest extent permitted by law, our total liability for all claims relating to this site is limited to one hundred United States dollars (US$100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limitations above apply only as far as that jurisdiction allows, and nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.

10. Indemnity

If your misuse of this site, or your breach of these Terms, causes a third party to bring a claim against us, you agree to cover the reasonable costs and damages that result, provided we tell you about the claim promptly and let you take part in handling it.

11. Changes to these Terms

We may update these Terms. When we do, the "last updated" date at the top of the page changes, and the new version applies from the day it is posted. If a change is significant, we will say so on this page rather than making the change quietly. Continuing to use the site after a change means you accept the updated Terms.

12. Governing law and disputes

SunnyOrange LLC is a limited liability company organised under the laws of the State of California. These Terms, and any dispute arising out of them or out of your use of this site, are governed by the laws of the State of California and the applicable laws of the United States, without regard to conflict-of-law rules.

Any such dispute will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.

Nothing here removes any right you have to bring a claim in the courts of the country where you live, if the law of that country gives you that right.

13. The rest

If a court finds part of these Terms unenforceable, the rest stays in force. If we do not enforce something immediately, we have not given up the right to enforce it later. These Terms, together with the Privacy Policy, are the whole agreement between you and us about this website.
